By participating in the Kelsey’s "Claim Your Craving" Contest (the "Contest"), each entrant agrees to be bound by these Official Contest Rules (the "Rules").

The Contest is in no way sponsored, endorsed or administered by, or associated with Facebook. You understand that you are providing your information to the Sponsor and not to Facebook. The information you provide will only be used for the administration of this Contest and in accordance with the Sponsor’s privacy policy (see below). Facebook is completely released of all liability by each entrant in this Contest. Any questions, comments or complaints regarding the Contest must be directed to the Sponsor and not Facebook.

1. CONTEST PERIOD: Contest begins on November 29, 2011, at 10:00:00 a.m. Eastern Time ("ET") and ends on December 23, 2011 at 11:59.59 p.m. ET (the "Contest Period").

2. ELIGIBILITY:The Contest is open to legal residents of Canada (excluding residents of Quebec) who are over the age of majority in their province/territory of residence at the time of entry; except employees , representatives and agents (and those with whom such persons are domiciled, whether related or not) of Kelsey’s, a division of Cara Operations Limited (the "Sponsor"), its subsidiaries, affiliates and related companies, as well as Home Office Associates of Sponsor’s restaurant brands and their respective advertising and promotion agencies, suppliers and the independent judging organization (collectively, the "Contest Parties").

3. HOW TO ENTER: No purchase necessary. To enter, go to www.kelseys.ca/facebook (the “Website”) during the Contest Period and follow the on-screen instructions to: (i) “like” the fanpage; (ii) allow the “Claim Your Kelsey’s Craving” Contest application (the “Application”); and (iii) obtain the official Contest entry form (the “Entry Form”). Fully complete the Entry Form, which requires you to: (i) enter your valid email address, first name, last name, province/territory, My Local Kelsey’s, and My Kelsey’s ID (note: You only need to enter a My Kelsey’s ID if you have received one in a friend’s referral Email – see Rule 5 below); (ii) select the one (1) new menu item you would most like to try (from the options presented on the Entry Form); and (iii) select the checkbox “I agree to the Contest Rules, Kelsey’s Privacy Policy and Terms of Use” which signifies your agreement to be legally bound by the terms and conditions of these Rules, our Privacy Policy and the Website Terms of Use. At the time of entry, you will also have the option to select the checkbox “Of course I’d like to subscribe to Kelsey’s email communications” to receive marketing communications from Sponsor (note: By checking the adjacent box and successfully opting-in to the Kelsey’s Email Database, you will be subscribed to receive Kelsey’s email communications with periodic updates on Kelsey’s events and special offers. You will have the opportunity to opt-out of receiving future communications at anytime). When all required fields of the Entry Form are fully completed, click the “SUBMIT” button to complete your entry (the “Entry/Entries”). To be eligible, your Entry must be received within the Contest Period. All eligible Entries received during the Contest Period will be eligible for inclusion in the applicable random Daily Prize and Weekly Prize draw(s).

ENTRY LIMIT: There is a limit of one (1) Entry per person/email address permitted during the Contest Period. For greater certainty, you can only use one (1) email address to enter the Contest. If it is discovered that any person has attempted to: (i) obtain more than one (1) Entry per person/email address during the Contest Period; and/or (ii) use (or attempt to use) multiple names, identities and/or more than one (1) email address to enter the Contest; then (in the sole and absolute discretion of the Sponsor) he/she may be disqualified from the Contest. Your Entry will be rejected if (in the sole and absolute discretion of the Sponsor) the Entry Form is not fully completed with all required information and submitted during the Contest Period. Use (or attempted use) of multiple names, identities, email addresses and/or any automated, script, macro, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest is prohibited and is grounds for disqualification by the Sponsor. The Releasees (defined below) are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Entries (all of which are void). All Entries are subject to verification at any time. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification) to participate in this Contest. Failure to provide such proof to the satisfaction of the Sponsor in a timely manner may result in disqualification. The sole determinant of the time for the purposes of a valid Entry in this Contest will be the Contest server machine(s).

5.HOW TO INVITE YOUR FRIENDS: Once you have completed your Entry (as outlined above in Rule 3), you will have the opportunity to invite your friends (the “Friend(s)”) to enter the Contest. To invite your Friends, you need to enter the unique name and unique email address of up to eight (8) unique Friends in the space provided (note: referred email addresses will only be used by the Sponsor for the purpose of contacting your Friend(s) to provide information about entering this Contest so they can enter if they choose to do so and will not be added to any direct marketing list or used in any direct marketing programs without their consent). There is no limit to the number of Friends you can invite during the Contest Period, however you cannot invite the same Friend more than once. To invite additional Friends, please revisit the Website and follow the on-screen instructions. Each Friend will be sent an email (the “Email”) containing a link to the Contest website and you’re My Kelsey’s ID, which Email may identify you as having recommended that the Email be sent. You may only invite Friends from whom you have received permission to provide their email address to the Sponsor and by whom an email from you or Sponsor would not be considered spam or otherwise offensive. If you are selected as an eligible Weekly Prize winner, then the value of your Weekly Prize will increase by one (1) dollar ($1) for each unique Friend you refer during the Contest Period who visits the Website (via the link in the Email) and enters the Contest for the first time in accordance with these Rules (the “Referral(s)”). IMPORTANT NOTE: To be eligible, your Friend MUST enter your My Kelsey’s ID on the Entry Form when he/she enters the Contest in accordance with Rule 3. For the avoidance of doubt, if your Friend fails to correctly input your My Kelsey’s ID on his/her Entry Form for any reason, then you will NOT be eligible to receive a Referral (i.e. an increase of one (1) dollar) in respect of that Friend if you are selected an eligible Weekly Prize winner. IMPORTANT NOTE: Despite any indication on the Website or elsewhere as to the number of Referrals you have earned, all determinations of the number of eligible Referrals will be made by the Sponsor in its sole and absolute discretion and in accordance with its official records.

7.PRIZES AND APPROXIMATE RETAIL VALUES: Daily Prizes : There will be a total of one hundred twenty-five (125) Daily Prizes available to be won (five (5) per day), each consisting of a $20 CAD electronic gift card redeemable at participating Kelsey’s restaurants towards the purchase of food and beverages (dine in only, excluding alcohol) (the “Daily Prize(s)”). Each Daily Prize must be accepted as awarded and is not transferable, assignable or convertible to cash. No substitutions except at Sponsor’s option. Sponsor reserves the right, in its sole and absolute discretion, to substitute a Daily Prize or a component thereof with a prize of equal or greater value, including, without limitation, but at Sponsor’s sole and absolute discretion, a cash award. Each Daily Prize will only be awarded to the person whose verifiable name and valid email address appears on the Entry Form. Limit of one (1) Daily Prize per person.

Weekly Prizes: There will be a total of four (4) Weekly Prizes available to be won (one per Week), each consisting of one or more (as determined by Sponsor) electronic gift cards redeemable at participating Montana’s restaurants towards the purchase of food and beverages (dine in only, excluding alcohol) in the aggregate amount of: (i) $5 CAD, plus (ii) an additional $1 CAD for each Referral the winner has accumulated to date during the Contest Period; up to a maximum aggregate amount of $500 CAD (the “Weekly Prize(s)”). For greater certainty, electronic gift cards will only be awarded to the winner (i.e. not his/her Friends). Each Weekly Prize must be accepted as awarded and is not transferable, assignable or convertible to cash. No substitutions except at Sponsor’s option. Sponsor reserves the right, in its sole and absolute discretion, to substitute a Weekly Prize or a component thereof with a prize of equal or greater value, including, without limitation, but at Sponsor’s sole and absolute discretion, a cash award. Each Weekly Prize will only be awarded to the person whose verifiable name and valid email address appears on the Entry Form. Limit of one (1) Weekly Prize per person.

8.DAILY PRIZE WINNER SELECTION, NOTIFICATION AND CONFIRMATION: Starting on November 30, 2011 and each day thereafter until December 23, 2011 in Toronto, ON at approximately 12:00:00 p.m. ET, (the “Daily Prize Draw Date(s)”), one (1) eligible entrant will be selected by random draw from among all eligible Entries received to date during the Contest Period by 11:59:59 p.m. ET on the day immediately prior to the applicable Daily Prize Draw Date. NON-WINNING ELIGIBLE ENTRIES AUTOMATICALLY CARRY FORWARD TO BE INCLUDED IN SUBSEQUENT DAILY DRAWS. The odds of winning depend on the number of eligible Entries received to date during the Contest Period by 11:59:59 p.m. ET on the day immediately prior to the applicable Daily Prize Draw Date. Should no eligible Entries be received during the Contest Period prior to a Daily Prize Draw Date, then no eligible winner will be chosen for in respect of that Daily Prize Draw Date and the corresponding Daily Prize will be forfeited and unavailable to be won in the Contest. After each respective Daily Prize Draw Date, the Sponsor or its designated representative will make a minimum of three (3) attempts to contact the selected entrant (using the information provided on the Entry Form) within five (5) business days of the applicable Daily Prize Draw Date. If a selected entrant cannot be contacted within five (5) business days of the applicable Daily Prize Draw Date, or if there is a return of any notification as undeliverable; then he/she will be disqualified (and will forfeit all rights to the Daily Prize) and the Sponsor reserves the right, in its sole and absolute discretion, to randomly select an alternate eligible entrant from among the remaining eligible Entries received to date during the Contest Period by 11:59:59 p.m. ET on the day immediately prior to the applicable Daily Prize Draw Date (in which case the foregoing provisions of this section shall apply to such new selected entrant). BEFORE BEING DECLARED A CONFIRMED DAILY PRIZE WINNER, each selected entrant will be required to correctly answer a mathematical skill-testing question without mechanical or other aid. By participating in this Contest and accepting a Daily Prize, each selected entrant hereby: (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the Daily Prize as awarded; (iii) releases the Contest Parties and each of their respective officers, directors, agents, representatives, successors and assigns (collectively, the “Releasees”) from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of the Daily Prize or any portion thereof; and (iv) agrees to the publication, reproduction and/or other use of his/her name, address, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner whatsoever, including print, broadcast or the internet. If a selected entrant: (a) fails to correctly answer the skill-testing question; and/or (b) cannot accept the Daily Prize for any reason; then he/she will be disqualified (and will forfeit all rights to the Daily Prize) and the Sponsor reserves the right, in its sole and absolute discretion, to randomly select an alternate eligible entrant from among the remaining eligible Entries received to date during the Contest Period by 11:59:59 p.m. ET on the day immediately prior to the applicable Daily Prize Draw Date (in which case the foregoing provisions of this section shall apply to such new selected entrant).
